What is an LLC?
A limited liability company (LLC) is a business entity with one or more owners, called members. An LLC formed by one owner is a single-member LLC; and when formed by two or more owners, it’s a multi-member LLC. The structure protects members’ personal assets from business debts and legal claims.
LLCs also offer federal tax flexibility. The IRS treats a single-member LLC as part of its owner’s tax return and a multi-member LLC as a partnership by default. Either type can elect corporate tax treatment.
Is an LLC right for you?
An LLC can fit a business whose owners want liability protection, along with more tax or management flexibility. Compared with a sole proprietorship, an LLC creates a separate legal entity. The right structure depends on the business’s risk, ownership, and tax situation.
It also comes with formation expenses and recurring paperwork. Illinois charges $150 to file articles of organization and $75 to file an annual report, according to the Secretary of State’s fee schedule. The annual report is due before the first day of the LLC’s anniversary month each year.
The LLC must also maintain an Illinois registered agent and keep its state records current. Late reports can lead to penalties and administrative dissolution.
Members can run the company through a member-managed structure or appoint one or more managers through a manager-managed structure. Illinois law treats an LLC as member-managed unless its operating agreement states otherwise. The agreement should record this choice and define each member’s or manager’s authority.
How to start an LLC in Illinois
Take the following steps to start an LLC in Illinois:
- Name your Illinois LLC.
- Create a business plan.

1. Name your Illinois LLC
Choose a name that customers can remember and the state will accept. According to Illinois naming rules, the name has to:
- Be different from other registered or reserved business names
- Include “Limited Liability Company,” “LLC,” or “L.L.C.”
- Avoid corporate or partnership endings such as “Inc.,” “Corp.,” or “LP”
- Follow additional restrictions for words related to banking, insurance, or trusts
How to check if your LLC name is available in Illinois
- Open the state’s Business Entity Search.
- Search for your full business name.
- Run additional keyword and partial-word searches to find similar names.
A “no records found” result means the name may be available. The Secretary of State makes the final decision to approve your name when it reviews your filing.
You can reserve the name for 90 days by completing Form LLC-1.15. To do so, submit two copies with the $25 fee. Keep in mind: Name reservation is optional and doesn’t form the LLC. Also, expedited service costs an additional $50 and must be requested in person.
2. Create a business plan
Keep your business plan lean, focusing on four specific areas:
- Offer: What the business will sell and why customers will buy it
- Market: The target customer, competing businesses, and evidence of demand
- Operations: How the business will market, sell, and deliver its products or services
- Finances: Startup costs, monthly expenses, pricing, and expected sales
Validate your business idea by studying competitors and speaking with potential customers. Use that research to refine the offer and pricing.
Estimate costs for your location or website, equipment, software, marketing, and professional services. Then calculate the business’s break-even point to determine how many sales it needs to cover those costs.
3. Choose a registered agent in Illinois
Every Illinois LLC maintains a registered agent and registered office. The agent receives lawsuits and official state correspondence for the business.
The agent can be an Illinois resident or a business authorized to operate in the state. The registered office must be a physical Illinois street address.
The two options are:
- Serve as your own registered agent. This avoids a service fee, but your address becomes part of the public business record. You also need to be available there to receive documents during business hours.
- Hire a registered agent service. A commercial service provides an Illinois address and forwards documents to you, but does charge an additional fee. Some services also send filing reminders.
4. Obtain your Illinois articles of organization
Your articles of organization officially create the LLC. File them online or mail two copies of Form LLC-5.5.
The filing has to provide:
- The LLC’s legal name
- Its principal place of business
- Its effective date, purpose, and duration
- The registered agent’s name and Illinois address
- The names and addresses of managers or members with manager authority
- The organizer’s name, address, and signature
Standard online filing costs $150 and takes about 10 business days. The 24-hour filing option costs $250.
5. Get a federal employer identification number (EIN)
An employer identification number (EIN) is a nine-digit federal tax ID. Multi-member LLCs need one for federal tax filings, while a single-member LLC only needs one if it hires employees, files excise taxes, or elects corporate taxation.
Apply after Illinois approves the LLC:
- Use the IRS online EIN application. Applying directly with the IRS is free.
- Enter the LLC’s exact legal name and identify its responsible party.
- Complete the application in one session. The IRS issues the EIN immediately if it approves the application.
- Save the EIN confirmation letter.
Payment providers use the EIN and registered business name to verify the business. Shopify Payments asks US LLCs for both. The information has to match the LLC’s IRS documentation exactly.
6. Obtain business licenses and permits
Forming an LLC doesn’t give the business permission to operate. Illinois business license requirements depend on the company’s location and activities.
Check three levels:
- Local: Contact the city, village, or county about business licenses, zoning approval, occupancy permits, and health permits.
- State and federal: Review rules for regulated activities such as food service, transportation, alcohol sales, or childcare.
- Professional: Check whether the business owner or employees need professional credentials according to your business and profession.
The Illinois Department of Financial and Professional Regulation licenses more than 100 professions. For example, a salon and the cosmetologists working there can have separate licensing obligations.
7. Understand Illinois tax requirements
If your LLC sells taxable goods or services, register with the Illinois Department of Revenue before making sales. The state will issue a Certificate of Registration or License, often called a seller’s permit.
On MyTax Illinois, select “Register a New Business (Form REG-1)” and complete the online application. Once approved, you can retrieve the certificate from the letters section of your MyTax account. A paper Form REG-1 is also available.
Additional registrations can apply to hotel, liquor, cannabis, tobacco, or motor fuel businesses. Employers can use MyTax Illinois to register for employee withholding and unemployment insurance.
An LLC can also elect federal corporate tax treatment. File Form 8832 to elect C corporation (C corp) treatment. An eligible LLC seeking S corporation (S corp) status files Form 2553.
After registering to collect sales tax, add the state and sales tax ID in Shopify. Shopify Tax automatically calculates US sales tax using the store’s tax registrations, product categories, and customer addresses.
8. Prepare an operating agreement
An operating agreement sets the internal rules for your Illinois LLC. Keep it with the company’s records rather than filing it with the Secretary of State.
Under Illinois law, an LLC is member-managed unless its operating agreement assigns management to one or more managers. The agreement can also establish:
- Each member’s ownership and investment
- How profits and losses are divided
- Voting and decision-making rules

9. Examine business insurance options in Illinois
An LLC can protect personal assets from many business debts, but it does not insure the company against accidents or losses. The Small Business Administration (SBA) mentions several types of coverage:
- General liability insurance: Covers claims involving bodily injury or property damage
- Product liability insurance: Covers claims involving defective products
- Professional liability insurance: Covers errors, negligence, or malpractice claims against service businesses
- Business owner’s policy: Bundles common coverage, often including general liability and commercial property insurance
Illinois employers with even one employee, including one part-time employee, must carry workers’ compensation insurance. Coverage begins when the employee is hired. LLC members can exempt themselves from their own coverage in some cases, but the business must still insure its employees.

Can you start an LLC in Illinois for free?
No. Illinois charges $150 to file the articles of organization. You can limit added costs by choosing standard processing, skipping the optional name reservation, serving as your own registered agent, and applying for an EIN directly through the IRS. License fees and other business expenses can still apply.
Maintain your Illinois LLC: Annual reports and good standing
To stay active with the state, Illinois LLCs require the following:
File an annual report
Each year, your business must file an Illinois LLC annual report, due before the first day of the LLC’s anniversary month. For example, an LLC formed in September must file before September 1 each year.
This report confirms the LLC’s principal address and management information. The registered agent generally receives a prefilled report about 45 days before the deadline. Most LLCs can file online, and the fee is $75.
A missed deadline places the LLC in delinquent status, and Illinois adds a $100 penalty when the report is more than 60 days late. After 120 days of delinquency, the state can administratively dissolve the LLC.
Reinstatement costs $200. Illinois also charges $100 for each year or partial year beginning with the second year of delinquency. These charges are in addition to other unpaid fees or penalties.
Request a certificate of good standing
A certificate of good standing confirms that an LLC has met its filing obligations with the Illinois Secretary of State. Banks, lenders, investors, and other states often ask for one.
The certificate costs $25. Search for the LLC in the state’s business database, purchase the certificate online, and download it from the receipt page or confirmation email.
